Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you and Digital Communique Ltd (“we”, “us”, “our”), trading as Stud-E, for access to and use of https://www.stud-e.app and related applications, products, and services (together, the “Service”).

By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, you must not use the Service.

1. Who we are

Stud-E is a trading name of Digital Communique Ltd, a company operating in New Zealand. The Service provides New Zealand curriculum-aligned practice, skills activities, examinations, progress reporting, and related learning tools for families, students, teachers, and organisations.

2. Eligibility and account types

The Service supports the following account types:

  • Parent accounts, used to create and manage student profiles and subscriptions.
  • Student accounts, used by learners under the authority of a parent or an organisation.
  • Organisation administrator accounts, used by schools or other organisations.
  • Teacher accounts, created by an organisation administrator.

You must be at least 18 years old to create a parent or organisation account. If you are under 18, you may use a student account only with the authority of a parent, guardian, or school that has accepted these Terms on your behalf.

You must provide accurate information, keep your login details confidential, and notify us promptly if you believe an account has been compromised. You are responsible for activity that occurs under accounts you control.

3. Children and parental or school authority

Stud-E is designed for school-aged learners. A parent, guardian, or authorised organisation must create and supervise student accounts. By creating a student account, you confirm that you have authority to do so and that you consent to our processing of that student’s information as described in the Privacy Policy.

Schools and organisations that enrol students also accept our School & Organisation Agreement.

4. The Service

We may provide practice lessons, challenge questions, skills modules, examinations, progress insights, billing tools, and related features. Features may vary by plan, year level, subject, organisation licence, and availability.

We may update, add, suspend, or withdraw features where reasonably necessary for operational, educational, legal, or security reasons. We will try to avoid unnecessary disruption, but we do not guarantee that any particular feature will remain available indefinitely.

5. Subscriptions, trials, and billing

Some parts of the Service require a paid plan. Prices, inclusions, usage limits, and trial terms are shown at the point of purchase or in the account billing area. Payment is processed by Stripe on our behalf. We do not store full card numbers on our servers.

  • Paid plans renew automatically unless cancelled before the renewal date in accordance with the billing portal.
  • Trials, if offered, convert to a paid plan unless cancelled before the trial ends.
  • Plan limits, including daily practice limits or examination caps, form part of the Service and are not defects.
  • Taxes may apply depending on your location and the information you provide.

Refunds are considered in accordance with the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, and otherwise at our reasonable discretion. If you believe a charge is incorrect, contact contact@stud-e.app promptly.

6. Acceptable use

You must not:

  • use the Service for any unlawful purpose, or to harm, harass, or exploit another person;
  • share login credentials, impersonate another person, or attempt to access another user’s account;
  • upload or transmit malware, scrape the Service in an abusive way, or attempt to reverse engineer, disrupt, or overload our systems;
  • use the Service to generate or distribute content that is unlawful, discriminatory, or sexually explicit, or that involves the exploitation of a child;
  • misrepresent AI-generated answers as a student’s unaided work where a school or examination body prohibits that;
  • resell, sublicence, or commercially exploit the Service except as expressly permitted in writing.

We may suspend or terminate access, remove content, or report conduct to an appropriate authority where we reasonably believe these Terms have been breached or a person is at risk of harm.

7. Intellectual property

We and our licensors own the Service, including software, lesson structure, branding, and original content. We grant you a limited, non-exclusive, non-transferable licence to use the Service for personal or organisational educational purposes during the term of your account.

You retain ownership of content you submit, such as profile details and answers. You grant us a licence to host, process, and display that content only as needed to operate, secure, and improve the Service, and as described in the Privacy Policy.

8. Artificial intelligence and educational content

Parts of the Service use automated systems, including large language models, to generate or adapt explanations, questions, and feedback. AI-generated material may be incomplete, inaccurate, or unsuitable for a particular learner. It is provided for educational support only and is not a substitute for a teacher, clinician, or other professional.

Examination and practice results are indicators of performance on the tasks completed in the Service. They are not official school reports, NCEA results, or professional assessments unless we expressly say otherwise.

9. Third-party services

The Service relies on third-party providers, including hosting, authentication, payments, analytics, email, and AI vendors. Those providers have their own terms. We are not responsible for a third-party service except to the extent required by New Zealand law.

10. Availability and security

We take reasonable steps to keep the Service available and secure. We do not warrant uninterrupted or error-free operation. You are responsible for maintaining a suitable device, browser, and internet connection, and for keeping account credentials confidential.

11. Suspension and termination

You may stop using the Service and close an account by contacting us or using available account tools. We may suspend or end access if you materially breach these Terms, if required by law, or if we discontinue the Service. After termination, we retain information only as described in the Privacy Policy.

12. Liability

Nothing in these Terms limits rights that cannot be excluded under New Zealand law, including rights under the Consumer Guarantees Act 1993 where that Act applies and cannot be contracted out of.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential loss, or for loss of profits, data, or goodwill, arising from your use of the Service. Our aggregate liability to you in connection with the Service is limited to the amount you paid us for the Service in the 12 months before the claim, or NZD 100 if you have not paid us.

If you use the Service in trade, the parties agree that the Consumer Guarantees Act 1993 and sections 9, 12A, 13, and 14(1) of the Fair Trading Act 1986 are excluded to the extent permitted by law.

13. Changes to these Terms

We may update these Terms from time to time. The version published on this page is the current version. If a change is material, we will take reasonable steps to notify account holders, for example by email or an in-product notice. Continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

14. Governing law

These Terms are governed by the laws of New Zealand. The courts of New Zealand have exclusive jurisdiction, except that we may seek injunctive or equivalent relief in any jurisdiction to protect our intellectual property or the security of the Service.
